We hire bold thinkers with a heart for impact, a passion for progress, and the optimism to shape the future of transportation.The Role We're looking for a Corporate Paralegal to support PrePass's Legal & Compliance department by performing a broad range of corporate governance, contract management, and compliance-related responsibilities. In this role, you'll work closely with attorneys, business stakeholders, and external partners to support both day-to-day legal operations and strategic initiatives across the organization. This position plays a critical role in ensuring corporate records are maintained accurately, contracts are processed efficiently, and the company remains compliant with applicable legal, regulatory, and internal policy requirements.This role operates in a hybrid work environment with in-office collaboration expected at the Phoenix headquarters. The position may be fully remote for the right candidate, with periodic travel to the corporate headquarters based on an agreed-upon cadence.Essential Responsibilities Contract Management Review, draft, and process a variety of agreements, including customer contracts, nondisclosure agreements (NDAs), vendor contracts, SaaS agreements, service agreements, amendments, and renewalsManage the full contract lifecycle, including intake, redlining, execution, and archival processes (e.g., DocuSign workflows)Track contract deadlines, renewal dates, insurance requirements, and related compliance obligationsCoordinate with internal teams to ensure compliance with delegation-of-authority and signature policiesCorporate Governance Maintain and update corporate records, entity filings, organizational charts, and compliance calendarsPrepare and file annual reports, state registrations, and business licensesAssist with board of directors and committee materials, including resolutions, written consents, minute books, and meeting preparationDue Diligence & Transactional Support Organize and maintain due diligence materials for corporate transactions, audits, or regulatory inquiriesSupport the legal team by compiling corporate documents, contracts, organizational information, and regulatory filingsCoordinate with cross-functional teams and external counsel as needed to support transactional activitiesCompliance & Policy Support Assist in drafting, reviewing, and updating corporate policies, standard templates, and compliance documentationSupport the implementation and monitoring of internal compliance programs, including data privacy, cybersecurity, and other regulatory requirementsEvaluate, track, and organize vendor compliance documentation, such as SOC reports and cybersecurity insurance materialsLegal Research & Department Support Conduct legal and regulatory research related to corporate, commercial, and compliance mattersSummarize research findings and prepare briefing materials for attorney reviewOrganize legal files, contract repositories, and internal databasesFacilitate communication among internal stakeholders, outside counsel, and third partiesSupport special projects and initiatives as assigned by legal leadershipRequirements Qualifications Required Bachelor's degree or paralegal certificate from an ABA-approved programThree (3) or more years of experience as a paralegal in a corporate, commercial, or in-house legal departmentStrong working knowledge of corporate governance, contract structure, and legal terminologyExcellent writing, proofreading, and organizational skillsHigh attention to detail with the ability to manage multiple priorities in a deadline-driven environmentProficiency with Microsoft Office, contract management systems, and electronic signature tools (e.g., DocuSign)Preferred Experience in SaaS, technology, or other highly regulated industriesFamiliarity with data privacy, information security, or compliance frameworksExperience supporting mergers and acquisitions, transactional due diligence, or multi-state corporate filingsDesired Characteristics Strong analytical and problem-solving skillsDemonstrated discretion and professionalism when handling confidential informationAbility to collaborate effectively across departments while working independently with minimal supervisionProcess-oriented mindset with a willingness to improve and streamline legal operationsBenefits How We Will Take Care of You Robust benefit package that includes medical, dental, and vision that start on date of hirePaid Time Off, to include vacation, sick, holidays, and floating holidaysPaid parental leave401(k) plan with employer matchCompany-funded "lifestyle account" upon date of hire for you to apply toward your physical and mental well-being (i.e., ski passes, retreats, gym memberships)Tuition Reimbursement ProgramVoluntary benefits, to include, but not limited to Legal and Pet DiscountsEmployee Assistance Program (available at no cost to you)Company-sponsored and funded "Culture Team" that focuses on the Physical, Mental, and Professional well-being of employeesCommunity Give-Back initiativesCulture that focuses on employee development initiativesCompany-wide bonus and commission plansJoin Us At PrePass, our mission drives us.
